Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, subdomains, forms, payment flows, emails, services, previews, websites, hosting, Care Plan services, automations, and related offerings provided by Seung-Ki Kim, operating as Metamize Media ("Metamize Media," "we," "us," or "our").

These Terms apply to Metamize Media's ecosystem, including:

By using Metamize Media's website, submitting a form, requesting a preview, approving a preview, making payment, using a service, or communicating with Metamize Media about services, you agree to these Terms.

If you submit information, approve work, make payment, or use services on behalf of a business, you confirm that you have authority to bind that business to these Terms.

2. Services

Metamize Media provides customer-ready homepage, one-page website, website launch, hosting, maintenance, and related digital services for businesses.

Metamize Media may also offer, now or in the future, AI receptionist services, automation services, CRM services, booking services, messaging services, call handling services, website support, consulting, or related services.

The exact service, scope, deliverables, pricing, payment terms, subscription terms, and timeline for a specific project may be described on a checkout page, invoice, proposal, payment page, email, written agreement, or other written communication from Metamize Media.

3. Current Service Area

Metamize Media currently provides services to businesses in the United States. Canadian availability may be added in the future. The website may be viewed from other locations, but Metamize Media's services are not currently intended for worldwide availability unless Metamize Media separately agrees in writing.

4. Preview-First Homepage Process

Metamize Media may offer a preview-first process for certain homepage or one-page website services.

The client does not pay the Homepage Launch fee before seeing the private preview.

If Metamize Media chooses to prepare a private preview, the preview is provided for review only. The client does not own, copy, reuse, publish, modify, distribute, recreate, or commercially use the preview unless they approve the project and complete payment.

If the client does not approve the preview, they owe nothing for the Homepage Launch, but they also receive no rights to use the preview, design, copy, layout, code, images, structure, strategy, or related materials created by Metamize Media.

Metamize Media may decline to prepare, revise, continue, or launch a preview if the business, project, request, timeline, available information, or client conduct is not a good fit.

5. Homepage Launch Scope

Unless otherwise agreed in writing, the Homepage Launch service provides one customer-ready one-page website or homepage for the client's business.

6. Revisions

The private preview is intended to show the first customer-ready version of the homepage.

Before approval, the client may request reasonable changes at Metamize Media's discretion.

Reasonable changes may include small edits to wording, images, sections, contact details, links, service descriptions, or layout adjustments.

Metamize Media may refuse revision requests that would turn the project into a full redesign, multi-page website, custom software build, ecommerce setup, automation project, AI receptionist project, or materially different scope.

After approval and payment, additional changes may be handled through the Care Plan if they are small content updates. Larger changes may require a separate quote and payment.

7. Approval and Launch

After the client approves the private preview, Metamize Media sends the launch and payment instructions.

The homepage is not launched publicly until payment is completed, unless Metamize Media separately agrees in writing.

Once payment is completed, Metamize Media will begin final launch preparation, domain connection, publishing, testing, and related setup.

Launch timing may depend on client responsiveness, domain access, DNS access, third-party platform issues, payment completion, technical requirements, and other factors outside Metamize Media's direct control.

8. Payment

The client agrees to pay the fees shown at checkout, invoice, proposal, payment page, or written agreement.

Metamize Media may change its pricing at any time. Price changes do not affect a completed payment unless otherwise stated. Subscription pricing may change in the future with notice where required by law or by the payment platform.

Payment may be processed through Stripe or another payment provider. By completing payment, the client may also be subject to the payment provider's terms, privacy policy, and payment rules.

The client is responsible for ensuring that payment information is accurate, authorized, and kept up to date.

Metamize Media may suspend work, hosting, support, launch activity, maintenance, access, or services if payment fails, is reversed, disputed, charged back, or remains unpaid.

9. Refunds and Payment Disputes

The client does not pay the Homepage Launch fee before seeing the private preview.

Once the client approves the preview and completes payment, the Homepage Launch fee is non-refundable because it covers strategy, preparation, design, copy, build work, final setup, and launch work already completed or reserved.

Care Plan payments are billed monthly at the rate shown at checkout, invoice, proposal, payment page, or written agreement. Care Plan payments are not automatically refunded once a billing period begins.

If the client has an issue, they must contact Metamize Media first so Metamize Media has a reasonable chance to review and resolve the issue before any chargeback, payment dispute, or reversal is filed.

If a chargeback, payment dispute, reversal, failed payment, or unpaid balance occurs, Metamize Media may suspend or terminate work, hosting, support, maintenance, launch activity, access, or services.

The client is responsible for any chargeback fees, failed payment fees, recovery fees, collection costs, penalties, or related costs caused by the client's payment failure, dispute, reversal, account issue, or breach of these Terms, to the extent permitted by law.

10. Care Plan

The Care Plan is an ongoing monthly service that may begin after the Homepage Launch, depending on the checkout, invoice, proposal, payment page, or written agreement.

The Care Plan may include:

Small content updates means minor text, image, link, contact information, service description, or business detail changes to the existing homepage.

Unless separately agreed in writing, the Care Plan does not include:

11. Care Plan Cancellation

If the first month of the Care Plan is included with the Homepage Launch, the Care Plan will renew monthly after the included period unless cancelled according to the applicable checkout, invoice, payment page, subscription terms, or written agreement.

The client may cancel the Care Plan before the next billing cycle by contacting Metamize Media.

Cancellation stops future Care Plan billing, but it does not automatically refund past payments.

If the Care Plan is cancelled, expires, fails payment, or is terminated, Metamize Media may stop providing hosting, maintenance, support, updates, monitoring, or related services after the active billing period ends.

If Metamize Media is hosting the homepage, cancellation may require the client to move the site, reconnect hosting, transfer files, update DNS, or make separate hosting arrangements.

The client is responsible for any third-party costs, platform fees, domain fees, hosting fees, software fees, subscription fees, chargebacks, penalties, overage fees, recovery fees, migration fees, or other costs caused by the client's actions, requests, accounts, tools, vendors, platforms, or decisions outside the agreed Metamize Media service scope.

If the client cancels the Care Plan, the client remains responsible for any costs, obligations, subscriptions, renewals, domain fees, hosting fees, software charges, or third-party expenses that continue after cancellation, especially if those costs are connected to accounts, domains, tools, platforms, or services owned or controlled by the client.

Metamize Media is not responsible for paying, reimbursing, absorbing, managing, cancelling, or monitoring third-party costs that are outside the agreed service unless Metamize Media separately agrees in writing.

If the client requests work outside the Care Plan scope, including migrations, recovery work, emergency fixes, major edits, new pages, new features, platform changes, DNS repairs, account recovery, third-party troubleshooting, or hosting changes, Metamize Media may require a separate quote and payment before performing that work.

12. Hosting, Domains, and Migration

Unless otherwise agreed in writing, the client is responsible for purchasing, owning, renewing, and maintaining their own domain name.

Metamize Media may host the client's approved homepage through Metamize Media's chosen hosting infrastructure while the client's Care Plan is active and paid.

If the Care Plan is cancelled, expires, fails payment, or is terminated, Metamize Media may stop hosting, maintaining, monitoring, updating, or supporting the homepage after the active billing period ends.

If the client cancels the Care Plan, the client is responsible for moving, migrating, hosting, reconnecting, or republishing the homepage elsewhere.

If the account is paid in full, Metamize Media may provide a copy of the final static homepage files upon request. Migration, setup on another host, DNS troubleshooting, platform troubleshooting, rebuilding, redesigning, adapting the homepage for another platform, or reconnecting the homepage elsewhere is not included unless separately agreed in writing and paid for.

The client is responsible for all domain registration fees, domain renewal fees, hosting fees, email hosting fees, software fees, platform subscriptions, third-party tools, premium plugins, integrations, overage fees, transfer fees, recovery fees, chargebacks, penalties, and other third-party costs unless Metamize Media expressly agrees in writing to include them.

Metamize Media is not responsible for domain expiration, failed renewals, registrar issues, DNS issues caused by third parties, email hosting problems, loss of access to client-owned accounts, platform outages, account suspensions, payment failures, or changes made by the client or third-party providers.

If the client requests domain transfer assistance, migration, hosting changes, DNS repair, account recovery, emergency fixes, platform troubleshooting, or work outside the agreed service scope, Metamize Media may require a separate quote and payment before performing that work.

13. Domain, DNS, and Account Access

To connect or launch the homepage, the client may need to provide access to their domain registrar, DNS provider, Cloudflare account, website platform, hosting account, email provider, or related tools.

The client confirms they have the authority to give Metamize Media access to those accounts, tools, or records.

Metamize Media may make DNS, domain, hosting, redirect, SSL, or related technical changes only as needed to launch, connect, maintain, or support the approved homepage or agreed service.

The client is responsible for keeping ownership of their domain, maintaining account access, renewing their domain, and paying any domain or third-party provider fees.

The client is responsible for the consequences of failing to provide required access, providing incorrect access, revoking access, changing records, failing to renew accounts, or making changes that interfere with the website or services.

14. Client Responsibilities

The client is responsible for:

Metamize Media is not responsible for delays, errors, missed launches, downtime, lost access, failed renewals, or additional costs caused by the client's failure to meet these responsibilities.

15. Client Content and Legal Responsibility

The client is responsible for making sure any text, images, logos, names, trademarks, testimonials, claims, offers, reviews, videos, links, materials, or business information they provide to Metamize Media are accurate, lawful, and properly owned or licensed by the client.

The client confirms they have the right to use and provide those materials.

Metamize Media is not responsible for claims, disputes, copyright issues, trademark issues, privacy issues, false advertising claims, compliance issues, customer disputes, or legal problems caused by client-provided materials, client-approved content, or the client's business practices.

The client is responsible for reviewing and approving the final website, copy, claims, links, contact information, offers, pricing, disclaimers, legal notices, and other content before launch.

16. Ownership and Usage Rights

Until payment is completed, Metamize Media owns the preview, design, layout, copy, code, structure, strategy, and related materials created for the project.

After the client approves the preview and completes payment, the client receives the right to use the final approved homepage for their business.

The client does not receive ownership of Metamize Media's internal tools, systems, templates, processes, source workflows, automations, prompts, methods, strategies, proprietary processes, or business systems.

Metamize Media may reuse general skills, methods, ideas, layouts, components, code patterns, design patterns, workflows, structures, frameworks, and know-how developed or used during the project.

Unless separately agreed in writing, the client receives usage rights to the final approved homepage, not exclusive ownership of every underlying method, idea, component, system, tool, or process used to create it.

17. Portfolio, Testimonials, and Marketing Use

Metamize Media will not use a client's business name, logo, testimonial, website screenshot, project result, or similar materials in public marketing or portfolio content without permission.

If the client gives permission, Metamize Media may use approved testimonials, project examples, screenshots, business names, logos, or results for marketing, portfolio, sales, or promotional purposes.

18. AI Tools and Software Tools

Metamize Media may use AI tools, automation tools, design tools, coding tools, research tools, writing tools, analytics tools, and similar software to help provide services.

The client is responsible for reviewing and approving the final content before launch.

Metamize Media does not guarantee that AI-assisted output, draft copy, generated content, code, images, ideas, recommendations, or research will be error-free, unique, legally compliant, or suitable without review.

Metamize Media may edit, revise, reject, replace, or remove AI-assisted output before using it in client work.

The client remains responsible for the accuracy, legality, compliance, and suitability of client-approved content, claims, offers, business information, and materials.

19. Future AI Receptionist, Automation, CRM, Booking, and Messaging Services

Metamize Media may offer AI receptionist, automation, CRM, booking, messaging, call handling, or related services in the future.

Those services may involve third-party tools, client-owned accounts, phone numbers, call recordings, transcripts, customer messages, appointments, leads, CRM data, automations, integrations, service configuration, and related information.

Unless separately agreed in writing, Metamize Media does not guarantee that AI receptionist, automation, CRM, booking, messaging, or call handling services will be error-free, uninterrupted, always available, legally compliant for every industry, or capable of replacing human review.

The client is responsible for reviewing AI interactions, monitoring service performance, complying with industry-specific laws, maintaining appropriate disclosures, obtaining any required consents, and making final business decisions.

The client is responsible for making sure AI receptionist, automation, call handling, messaging, booking, CRM, or related services are appropriate for their business, industry, customers, and legal obligations.

20. Third-Party Platforms and Providers

Metamize Media may rely on third-party platforms, tools, providers, or services such as hosting providers, DNS providers, registrars, payment processors, email providers, form tools, automation tools, analytics tools, AI tools, website platforms, code tools, client-owned accounts, or other providers.

Metamize Media is not responsible for outages, downtime, policy changes, pricing changes, account suspensions, service interruptions, data loss, bugs, limitations, errors, delays, security incidents, or decisions caused by third-party platforms or providers outside Metamize Media's direct control.

If a third-party issue affects the client's website, launch, hosting, domain, payment, forms, automations, email, analytics, or related services, Metamize Media may help troubleshoot within the agreed scope, but additional work may require a separate quote and payment.

The client may also be subject to the terms, policies, privacy policies, acceptable use policies, payment terms, and limitations of third-party providers.

21. No Guaranteed Results

Metamize Media does not guarantee specific business results, sales, leads, rankings, traffic, conversions, revenue, customer inquiries, search engine placement, ad performance, platform approval, customer response, or return on investment.

Metamize Media's role is to provide the agreed website, launch support, Care Plan services, or related services. The client remains responsible for their offer, pricing, reputation, customer service, operations, advertising, market conditions, fulfillment, and business results.

22. Service Refusal, Suspension, and Termination

Metamize Media may refuse, pause, suspend, or terminate service if the client:

Metamize Media may also decline to prepare or continue a preview if the business, project, request, timeline, or available information is not a good fit.

If service is suspended or terminated because of the client's breach, failed payment, dispute, or misconduct, Metamize Media may stop work, hosting, maintenance, support, access, and launch activity.

23. Prohibited Uses

The client may not use Metamize Media's website, services, previews, systems, work, or deliverables for:

Metamize Media will take reasonable steps to keep non-public client information confidential.

However, unless a separate written non-disclosure agreement is signed, information shared with Metamize Media is not treated as confidential if it is already public, independently developed, lawfully received from another source, required to be disclosed by law, or necessary to share with service providers, contractors, payment processors, hosting providers, software tools, or professional advisors to provide services or operate the business.

25. Privacy

Metamize Media's collection, use, storage, and sharing of personal information is described in the Privacy Policy.

By using Metamize Media's website or services, submitting information, communicating with Metamize Media, or making payment, the client agrees that Metamize Media may collect and use information as described in the Privacy Policy.

26. Taxes

The client is responsible for any applicable taxes, duties, levies, currency conversion costs, bank fees, payment processor fees, or other government or financial charges connected to the client's purchase, payment, subscription, or use of services, unless otherwise stated in writing.

27. Availability and Maintenance

Metamize Media may perform maintenance, updates, changes, security work, troubleshooting, or service improvements from time to time.

Metamize Media does not guarantee that websites, hosting, forms, automations, analytics, payment flows, emails, AI tools, dashboards, or third-party services will be uninterrupted, error-free, secure, or available at all times.

Downtime, maintenance, DNS propagation, third-party outages, platform limitations, security events, updates, or technical issues may affect availability.

28. Disclaimers

Metamize Media provides services on an "as is" and "as available" basis to the maximum extent permitted by law.

Metamize Media disclaims warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, performance, security, or results, to the maximum extent permitted by law.

Nothing in these Terms limits rights that cannot legally be limited or excluded.

29. Limitation of Liability

To the maximum extent permitted by law, Metamize Media is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost business, lost data, lost opportunities, reputational harm, downtime, service interruptions, or loss of goodwill.

Metamize Media's total liability for any claim related to the website, previews, services, payment, hosting, Care Plan, deliverables, or these Terms is limited to the amount the client paid to Metamize Media for the specific service giving rise to the claim, unless a higher amount is required by law.

30. Indemnification

The client agrees to defend, indemnify, and hold harmless Metamize Media from claims, losses, damages, liabilities, costs, expenses, legal fees, or disputes arising from:

31. Force Majeure

Metamize Media is not responsible for delays, failures, interruptions, or inability to perform caused by events outside its reasonable control, including natural disasters, internet outages, power outages, cyberattacks, war, terrorism, labour disputes, pandemics, government actions, platform outages, provider failures, payment processor issues, DNS failures, registrar issues, or other events beyond Metamize Media's control.

32. Assignment

The client may not assign, transfer, or delegate their rights or obligations under these Terms without Metamize Media's prior written consent.

Metamize Media may assign, transfer, or delegate these Terms or related rights and obligations in connection with a business transfer, restructuring, merger, acquisition, sale, or similar transaction.

33. Severability

If any part of these Terms is found invalid, unlawful, or unenforceable, the remaining parts will remain in effect to the maximum extent permitted by law.

34. No Waiver

If Metamize Media does not enforce a right or provision of these Terms, that does not mean Metamize Media waives that right or provision.

35. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, checkout page, invoice, proposal, payment page, written agreement, or written service description applicable to the project, form the agreement between the client and Metamize Media.

If there is a conflict between these Terms and a specific written agreement signed or clearly accepted by both parties, the specific written agreement controls for that specific project.

36. Changes to These Terms

Metamize Media may update these Terms from time to time. If changes are made, the effective date at the top of this page will be updated.

Updated Terms apply to future use of the website, future services, future payments, future renewals, and future transactions, unless otherwise required by law or agreed in writing.

37. Governing Law and Disputes

These Terms are governed by the laws of Ontario, Canada, and applicable Canadian federal law, unless another law applies and cannot be excluded.

Any dispute related to Metamize Media, the website, the services, payments, hosting, domains, previews, Care Plan, deliverables, or these Terms must be handled in Ontario, Canada, unless the law requires otherwise.
